Telehop Communications Inc. Business Terms of Service ("Terms of Service")
- Definitions
The following definitions apply:
"Agreement" means these Terms of Service, including the Service Agreement, Telehop's Acceptable Use Policy ("AUP"), which can be viewed at www.telehop.com/terms-of-service, and Telehop's Number Porting Policy, which can be viewed at www.telehop.com/terms-of-service.
"Customer Site" means any of Your physical locations or premises to which You wish Telehop to deliver the Services of this agreement.
"Equipment" means the equipment, facilities and products, including cables and documentation, provided to you by Telehop for the purposing of providing the Services. Equipment includes, but is not limited to, IP Phones, Power over Ethernet switches, modems and routers.
"Laws", means any legislation, regulation, rule, governmental order and decision (including those of the CRTC).
"Parties" means You and Telehop, and "Party" means either one of us, including Your and Telehop's officers, directors, employees and agents.
"Service Agreement" means the order form for the Services, including any schedules, quotations, price lists and any documents supplementing, amending or confirming the Service Agreement.
"Services" means the services purchased by You as set out in the Service Agreement, including Telehop Office BYOB; Telehop Office Private Network; Office SIP; Virtual Fax; Mobile Office; Meet Me Conferencing; and Toll Free Number service.
"Telehop" means Telehop Communications Inc. or any of its subsidiaries or affiliates.
"Term" means the initial period of the Agreement as set out in this Agreement and any renewal term.
"You, Your, Yours" means the person, firm, corporation or other entity entering into this Agreement;
This Agreement may be changed and updated from time to time by Telehop and Telehop will post an updated version on its website available at www.telehopbusinessservices.com/Legal.aspx and may additionally give You notice of any changes by mail or messaging on your monthly bill. Your continued use of the Services thereafter will be deemed acceptance by You of such changes. Please keep checking our website for the latest version of this Agreement.
- Services
By this Agreement, You agree to subscribe for the Services, and Telehop agrees to provide the Services to You subject to the terms hereof. You may subscribe for additional Services from time to time, in accordance with this Agreement.
You may use the Services and Equipment for Your lawful business purposes only. You will at all times use the Services and Equipment in compliance with this Agreement and all applicable Laws and Telehop's AUP.
- Term and Termination/Suspension
This Agreement becomes binding on You when the Service Agreement is signed by Telehop and the Term for a Service will commence on the date that the Service is activated as determined by Telehop' records.
At the completion of the initial Term, this Agreement will automatically renew for the successive Term(s) unless You provide Telehop with written notice of your intention not to renew at least:
thirty (30) days prior to the end of the applicable Term for: Telehop Office BYOB; Office SIP; Virtual Fax; Mobile Office; Meet Me Conferencing and Toll Free Number service; and
sixty (60) days prior to the end of the applicable Term for Telehop Office Private Network Service.
This Agreement may be terminated:
by either Party without it incurring liability, where the other Party commits a material breach of any provision in this Agreement and fails to cure it within thirty (30) days after receipt of written notice of the breach; or
by Telehop, immediately, upon Your filing of a bankruptcy petition or similar proceeding under the law of any jurisdiction, or upon You becoming insolvent or making any assignment for the benefit of creditors, or upon the dissolution, liquidation, or appointment of a receiver of Your property, or where any Law prohibits Telehop from providing Services.
Telehop may suspend or terminate this Agreement in the following circumstances:
upon thirty (30) days written notice, if You behave in a way that is threatening, harassing, abusive or unreasonable to Telehop, its employees and/or agents;
upon providing You forty-eight (48) hours notice, where possible, where You use or are reasonably suspected by Telehop of using the Services in a fraudulent or illegal manner, or You fail to meet Telehop' credit requirements; or
upon providing You with ten (10) days prior written notice, where You fail to make payment in full of all undisputed portions of Your invoice as set forth in Section 5.
You acknowledge and agree that termination or suspension of the Services provided under this Agreement for any reason whatsoever does not eliminate Your responsibility to pay all fees and other amounts owed to Telehop up to the end of the month or the term from the date of termination or suspension without any deduction or right of set off whatsoever.

Telehop offers its customers the choice to amortize the cost of any device or hardware required for use of service. If services are canceled any time prior to the expiration of the Agreement, or if the Agreement is terminated for any reason whatsoever, regardless of which party cancels or terminates, you will be charged for any unpaid balance remaining on the cost of the hardware or device.
If You terminate this Agreement other than in accordance with the terms of this Agreement, You will be required to pay to Telehop as liquidated damages, and not as a penalty, an amount which is equal to: (a) fifty percent (50%) of the average monthly usage (where applicable); plus (b) the fifty percent (50%) of monthly recurring charge for each of the Services, multiplied by the number of months remaining in the then current Term. In addition, You will be responsible for any other charges that Telehop, acting reasonably, is liable to incur for the remainder of the then current Term, including without limitation, installation charges, removal costs and rental costs, and You will forfeit a refund of any prepayment made for Services. The foregoing and all other fees and charges owing will be immediately due and payable.
If Telehop acquires any services from any 3rd party provider on your behalf, in that case the terms and conditions for the products / services would be applicable as per the3rd party provider’s policies.
- Rate and Charges
You are responsible for all charges for all Services and You agree to pay the rates and charges for all Services as set out in the Service Agreement, including system access fee(s), monthly service charges, any restoral fees, usage charges, data transfer fees, long distance fees and any other charges incurred in using Your Services, regardless of who used the Services.
You are solely responsible in the event of charges arising from fraudulent use of Your equipment by a third party. You shall notify Telehop immediately, in writing or by calling the Telehop customer support at 1-888-825-1860 if You become aware at any time that Your Service(s) (or any aspect of the Service such as password, PIN or card number) is being or has been stolen or fraudulently, improperly or unlawfully used.
Telehop reserves the right to change rates for any and all Services upon the provision of thirty (30) days' notice. Current rates will be published on our website.
- Billing and Payment
Fixed charges are billed monthly in advance and other charges are billed in the current month.
Seven (7) days after any Equipment has been shipped to You, You will be charged the pro-rated for the Services for the partial month plus one month's charges in advance. In addition, You will be charged the cost of Equipment, shipping, professional services fees (if applicable) upon Telehop's acceptance of your order.
Telehop offers several service plans that include monthly minutes. If You exceed the monthly minutes in Your plan, then the applicable overage fee will automatically apply. These plans exclude calls to Alaska, Hawaii as well as calls into the territory of independents telephone companies. These calls will be charged at the applicable North American rate plan.
Telehop offers several metered monthly plans. Each metered plan includes a toll-free and/or local telephone number and a fixed number of monthly minutes. When You exhaust your initial plan allotment of monthly minutes, You will automatically purchase additional minutes. Additional minutes will be billed as "usage". Long distance, including international long distance, charges will be billed at Telehop's current rates. These plans exclude calls to Alaska, Hawaii as well as calls into the territory of independent telephone companies. These calls will be charged at the applicable North American rate plan.
Unless otherwise stated in the Service Agreement, all usage charges will be billed in increments that are rounded to the nearest six second increment, with a minimum charge of thirty seconds.
Telehop will use reasonable efforts to fix Your issue Telehop Services and those efforts do not extend to fixing Your equipment, network or services of other providers. You must ensure that your equipment meets Telehop's minimum requirements at all times. Telehop reserves the right to charge a fee for technical support, if it is determined that the technical difficulty that You are experiencing is due to limitations of Your internal network or one of your other service providers, including ISP. Telehop will notify of charges before starting enhanced technical support.
If you request an on-site visit from a technician to resolve Your issue, and it is determined that the cause of Your issue is due to a problem with Your equipment, network, ISP or other service provider, Telehop's service charges will apply. Service charges may vary from time to time.
In addition to rates and charges, invoices will include, and You are responsible for: any and all applicable provincial and federal taxes, interest on prior overdue amounts, and an administrative surcharge of $50 for returned cheques.
Invoiced amounts are due within thirty (30) days after the date of the invoice, without any right of deduction or setoff. Interest will accrue on all past due amounts at a rate of 2% per month (24% per annum on a compounded basis) or such other rate as Telehop may set from time to time. An administrative surcharge will apply to returned cheques. You will be responsible for all costs incurred by Telehop to collect any unpaid invoices, including legal fees.
Any payment authorization You have provided to Telehop will remain valid for sixty (60) days after the termination of Service.
Telehop may request immediate payment in extreme situations, provided Telehop has notified You and the abnormal risk of loss has substantially increased since that notice was given and Telehop, at its sole discretion, has reasonable grounds for believing that there exists an intention to defraud Telehop. Telehop reserves the right to bill at more frequent intervals if the amount owed to Telehop exceeds $50.
Where your Services are cancelled, either by You or by Telehop, and there is an undisputed credit balance on your account, You may, between the 60th and 180th day after cancellation, require that it be applied to any ongoing or new Services provided to you within 180 days of the cancellation, or that it be refunded to You. If You do not claim your credit balance within the 180 day period, it will be retained by Telehop, and any account credits provided by Telehop will expire. Telehop reserves the right to charge a reasonable processing fee in connection with issuing refunds.
You must bring all invoice disputes and inquires to Telehop' attention in writing within sixty (60) days of the invoice date. Your failure to do so will be taken as acceptance of the contents of the invoice and You will have no further right to challenge any portion of the invoice. If you dispute a charge and Telehop determines that the disputed amounts are in fact due, You shall pay such charges within fifteen (15) days. Billing disputes will be handled in accordance with the Dispute Resolution section of this Agreement.
You may apply for and receive invoices by electronic mail ("E-bills") (not available for all Services). If you do, you understand and acknowledge that You will no longer receive invoices for these Services by regular mail and agree that it is Your responsibility to install the necessary hardware and software and to provide Telehop with all required information in order to receive E-bills. Telehop may discontinue provision of E-bills on reasonable notice to You.
You may pay invoices by pre-authorized payment ("PAP"). By so doing, you authorize us to deduct all invoiced amounts from the account You designate at Your financial institution.
In the event that there is more than one "CLIENT", all individuals requesting services remain jointly and severally responsible for the payment of all invoices to the extent that they are united in interest. In the event that any entity is named any party requesting the services of Telehop shall serve as a guarantor of payment for any balance owing for Usage, Monthly Subscription, Equipment or any other charges related to billing.
- Personal Information Protection and Electronic Documents Act
The "Client" shall understand and agree that "PIPEDA" requires them to give consent or acknowledgment in the collecting, use or disposition of personal information. The "CLIENT" hereby consents to allow Telehop to collecting, use and dispose of any and all dispose of any and all information given to Telehop for the purpose for which the "CLIENT" has subscribed to Telehop. The collection, use, and disposal of the "CLIENT'S" personal information may or could be disclosed to third parties.
By signing or verbally subscribing to these services the "CLIENT" agrees that they have given informed consent to the collection, use and/or disclosure of their personal information for the "agreement". The consent herein given shall remain in full force and effect in full force for the duration of the "services".
- Credit
As a precondition to the provision of, or continuing provision of Services, You:
agree to allow Telehop to collect any information from you to facilitate credit inquires about You, and consent to the disclosure of such information from and to credit grantors, credit bureaus and suppliers of services as Telehop deems appropriate at any time; and
agree to provide a security deposit and/or special payment terms and/or prepayment for Services in an amount or amounts as may be determined and required in Telehop discretion from time to time for reasons including but not limited to: regularly failing to keep Your account current, defaulting on payment obligations or using Services in excess of a credit limit of $100.
Despite any other provisions of this Agreement, Your outstanding charges for Services will not at any time whatsoever, exceed Your then current credit limit ($100 unless otherwise agreed to), unless You receive Telehop's prior approval.
- Equipment
Where Telehop provides Equipment as part of the Service, You agree that the Equipment, and any North American Numbering Plan numbers and/or IP addresses assigned to You will at all times remain Telehop' property and You have no right, title or interest in or to the Equipment except for its use under this Agreement.
You agree not to re-arrange, disconnect, remove, reconfigure or repair any Equipment, including passwords and electronic serial number or equipment identifier of the Equipment, or to perform a software reset of the Equipment, except by prior written agreement with Telehop. If You tamper with the Equipment, Telehop reserves the right to terminate Your Service, in which case You will be responsible for all charges for Your Service(s) and Equipment. You agree that if You make unauthorized changes to any Equipment provided to You by Telehop which results in Service problems or downtime, Telehop will charge You and You agree to pay Telehop's cost for any effort involved in the restoration or repair of Service to You.
If You lose or damage the Equipment, Telehop will charge You its standard rates to replace the Equipment. If the Equipment malfunctions during its intended use, Telehop, at its sole discretion, will maintain and replace the Equipment if necessary. In such an event, You agree that Telehop's liability and Your sole remedy is limited to a refund of charges or replacement by Telehop of such Equipment, provided that You notify Telehop immediately upon Equipment malfunction. If it is determined that repair was not required or was required due to damage caused by You, You agree to pay Telehop's cost for such repair.
You agree that You are responsible for the safekeeping of Equipment from the moment You receive the Equipment until the Equipment is returned to Telehop in good physical and functional condition. If, while in Your care, the Equipment is damaged, lost, stolen, or if, in Telehop's sole discretion, the Equipment is returned in an unusable condition, You agree to pay the replacement value of the Equipment. If, in Telehop's sole discretion, such the Equipment is not damaged beyond repair, You agree to immediately place such Equipment in good repair, at Your sole cost, at locations specified by Telehop.
If you lease the Equipment from Telehop, upon cancellation or termination of the Services, You agree to return, at your own expense, the Equipment to Telehop in good working condition within seven (7) days of cancellation/termination or within the time specified by Telehop. You are responsible for continuing charges for the Equipment until its return. If You fail to return the Equipment within the required time, Telehop will retain the deposit provided by You at the start of the Service activation or automatically charge you the cost to replace the Equipment without further notice.
The Equipment will be considered to be in good working condition, unless You give notice to Telehop to the contrary within five (5) days of receiving the Equipment.
Where You have bought the Equipment from Telehop, You are responsible for all return shipping charges for any hardware returned to Telehop for any reason, including situations in which hardware is covered under warranty. Telehop, in its sole discretion may decline your return or assess an additional $30 charge for any missing and/or damaged components or items.
- Installation and Access to Facilities
You agree to provide Telehop and/or its agents access to the Customer Site, including power and support, at Telehop's reasonable request to make such installations, service, inspections, tests and adjustments as are necessary for the provision of the Services. No co-location rights are granted in this Agreement unless such rights are set out in a separate Schedule. You agree to provide access to the Customer Site in order for Telehop to repossess or remove any and all equipment or facilities it has provided to You for the provision of Services.
Telehop is entitled to immediate access to the Equipment, without notice, at any time between 9:00 am and 5:00 pm on a business day (regardless of whether your business is open on that day) and at such other times that we may agree. In the event that you are in default of the Services Agreement with Telehop or this Agreement is terminated for any reason, then you hereby (or will irrevocably direct your staff, landlord (if applicable) and any other custodial staff to) permit Telehop access to the Customer Site to remove any Equipment not owned by you. Telehop will not be responsible for any delays, interruptions in the Services, damages or costs that may result if Telehop is unable to obtain access to your premises
Telehop and/or its agents will install and maintain the Equipment required to provide Services to the legal boundary of the Customer Site and in the case of a a Multi-Dwelling Unit (`MDU`), to the main terminal room in the MDU. You will be responsible for obtaining at your sole cost all rights-of-way, permissions and/or third party consents (including, without limitation, the consent of your landlord or building owner) required to permit Telehop to install and maintain the Equipment from the legal boundary of the Customer Site to Telehop`s service demarcation point. You are responsible for all charges to extend services from the demarcation to the boundaries of your suite, if required.
You shall, at your cost:
prepare your site for the installation of the Services, including any network components, in accordance with Telehop requirements;
provide dedicated electrical source, circuits, power and isolated ground;
provide a suitable operating environment (including isolated ground, air conditioning, humidity, heat and security) per manufacturer's specifications which will be provided to you by Telehop upon request;
provide adequate security for all Telehop equipment; and
ensure that Your network continues to meet the minimum requirements during the term of the Agreement. You acknowledge that your failure to ensure that the network continues to meet the minimum requirements may impact the quality of Services.
You are responsible for any additional installation costs incurred by Telehop as a result of your failure to comply with the foregoing requirements.
- Confidentiality
In accordance with this section and any non-disclosure agreement with Telehop, you will hold all confidential information of Telehop in strictest confidence and will not disclose such information to any third party without the prior written consent of Telehop, unless required by Law. In addition to any other remedies Telehop may have, if You breach these confidentiality obligations, then You agree that any further or continuing disclosure will cause irreparable harm to Telehop and Telehop will be entitled to an injunction barring any further disclosure of such confidential information, in addition to monetary damages for such breach.
You will treat all access codes and passwords (where applicable) as confidential. If You learn that such codes or passwords are stolen or lost or used in an unauthorized manner, You will immediately notify Telehop.
Unless You provide express consent, or disclosure is required pursuant to a legal power, all information regarding You kept by us, other than Your name, address and listed telephone number, is confidential and may not be disclosed by us to anyone other than:
You;
a person who, in our reasonable judgment, is seeking the information as Your agent;
another telephone company, provided the information is required for the efficient and cost-effective provision of telephone service and disclosure is made on a confidential basis, with the information to be used only for that purpose;
a company involved in supplying You with telephone or telephone-directory-related services, provided the information is required for that purpose and disclosure is made on a confidential basis, with the information to be used only for that purpose;
an agent retained by us in the collection of Your account or to perform other administrative functions for us, provided the information is required for and used only for that purpose;
an agent retained by us to evaluate Your creditworthiness, provided the information is required for and is to be used only for that purpose;
a law enforcement agency whenever we have reasonable grounds to believe that You have knowingly supplied us with false or misleading information or are otherwise involved in unlawful activities; or
a public authority or agent of a public authority if, in our reasonable judgment, it appears that there is imminent danger to life or property which could be avoided or minimized by disclosure of the information.
Express consent to disclosure from You may be obtained as follows:
by written consent;
by oral confirmation verified by an independent third party;
by electronic confirmation through the use of a toll-free number;
by electronic confirmation via the Internet;
by oral consent, where an audio recording of the consent is retained by us; or
by consent through other methods, as long as an objective documented record of Your consent is created by You or by an independent third party.
- Provision of Service
Services are only available in Telehop's operating territory and only where it is possible and commercially reasonable for Telehop (in Telehop's sole determination) to provide such Service. You acknowledge and agree that Telehop may conduct a preliminary check to determine if a Service is available in Your area. In addition, Telehop is not required to provide Services to You where: i) Telehop would have to incur unusual expenses which You will not pay; for example, special construction; ii) You owe amounts to Telehop that are past due other than as a guarantor; or iii) You do not provide credit information satisfactory to Telehop or a reasonable deposit, as requested by Telehop from time to time and as determined, at least in part, by your usage patterns and quantity. Where you have provided a deposit, simple interest, based on the monthly savings account rate of the Bank of Nova Scotia, will be paid on all sums retained on deposit.
- Service Interruption and Maintenance
Telehop may interrupt Your Service at any time for any duration of time, without any notice or liability, in order to install, repair, replace or to perform necessary maintenance on the telecommunications equipment, facilities or network, or for other technical reasons as may be required.
- Indemnification
YOU AGREE TO INDEMNIFY, AND DEFEND TELEHOP, ITS AFFILIATES, UNDERLYING CARRIERS, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, LICENSORS, AND SUPPLIERS FROM AND AGAINST ANY AND ALL CLAIMS, LOSSES, EXPENSES, DAMAGES AND COSTS, INCLUDING REASONABLE LEGAL FEES, RESULTING FROM THE USE OF THE SERVICES OR FROM ANY BREACH OF THIS AGREEMENT BY YOU, EXCEPT AND TO THE EXTENT OF ANY NEGLIGENCE OR MISCONDUCT ON THE PART OF TELEHOP. THE PROVISIONS OF THIS SECTION WILL SURVIVE TERMINATION OF THIS AGREEMENT.
- Disclaimer and Limitation of Liability
Telehop provides the Services and Equipment to You on an "as is" basis and disclaims all warranties, whether express, implied or statutory, including, but not limited to, any warranties of merchantability, fitness for a particular purpose, title, quiet enjoyment, accuracy, or system integration. No warranty is made that the Services and Equipment will operate in an error free or uninterrupted manner.
Telehop will not be responsible for any damages including actual, direct, indirect, incidental, special, consequential, punitive or reliance, or for any lost profits of any kind, even if the damages were foreseeable, arising out of the provision of the Services or in any way arising out of this Agreement. Your exclusive remedy and Telehop' liability, if any, for damages for any cause whatsoever, will be no more than the recurring charges paid by You for the affected Service for the three (3) months preceding the event alleged to have caused damages. Any legal action arising in connection with this Agreement must be brought within one (1) year after the cause of action arises. For the purpose of this section, "Telehop" includes its officers, directors, employees, agents and affiliates
- Telephone Numbers
Vanity Number: For a fee Telehop may attempt to secure a specific telephone number requested by you, however Telehop can not guarantee that the requested number(s) will be available. The fee is applicable, regardless of if the requested number(s) were secured. You should not order any printed material or advertise the number until the service is active. Telehop will not be liable for reimbursement for any loses occurred by you for printing or advertising expenses.
Number Portability: Number porting is subject to Telehop Number Porting Policy. www.telehop.com/terms-of-service.
Changes in Telephone Numbers: From time to time Telehop may be required to change your telephone number(s) assigned to you due area code splits, number exhaust or any other reasons required by Law. You acknowledge that Telehop will not be responsible for any expenses incurred by you due to a change in telephone number. Telehop will provide as much notice as is reasonably possible prior to any change.
Ownership of Telephone Numbers and IP Addresses: You agree that any North American Numbering Plan numbers and/or IP addresses assigned to You will at all times remain Telehop's property and You have no right, title or interest in or to such telephone numbers and/or IP addresses except for its use under this Agreement.
- Fair Use
All unlimited service plans are subject to Telehop's Acceptable Use Policy ("Acceptable Use Policy"). Telehop defines fair usage as reasonable call and fax usage, including a reasonable mix of mobile and landline calls; reasonable call length; and not employing methods or devices to make automatic repetitive calls or faxes; or in any way that adversely impacts the service to other Telehop customers. The amount of calls made not to exceed a reasonable amount per day and subject at all times to a monthly limit of 3000 minutes per month per Service Plan. Minutes above these limits are subject to Telehop's per minute basic calling package rates. If for any reason Telehop reasonably suspects that you are not acting in accordance with this Fair Use Policy, Telehop reserves the right to impose further charges or suspend or disconnect your account.
- Changes, Modifications or Termination of Plans or Plan Features
Without incurring liability, Telehop may at any time and without notice to You, change, modify or terminate any Service, plan or Service or plan features, in whole or in part (including the rates or charges for all customers who at such time are not subject to a future term commitment). In the event of any such change or modification, You will be responsible for paying all charges incurred for use of such Service including any charges arising out of the change or modification. In the event of a termination of a Service, plan or Service or plan feature by Telehop, You will be responsible for paying all charges incurred up to the applicable termination date.
- General
Any notice or other communication required by this Agreement will be in writing and will be provided by personal delivery, by facsimile OR BY EMAIL to Telehop or You as applicable, at the address or facsimile number provided by You. Notices delivered in person will be effective on the date of such delivery. Notices delivered by facsimile will be effective on the date of transmission provided printed proof of transmission is obtained. You may not assign, resell or transfer this Agreement or Service(s) to a third party without the prior written consent of Telehop. This Agreement will enure to the benefit of, and be binding upon, the parties and Your respective heirs, executors, administrators, successors and permitted assignees. Telehop provides Services to You as an independent contractor and this Agreement does not constitute or imply any partnership, joint venture, fiduciary relationship or other relationship between You and Telehop. The terms and provisions of this Agreement may only be waived in writing signed by Telehop. No failure by Telehop to insist upon Your performance of any obligation in this Agreement will constitute a waiver of the obligation. If any portion of this Agreement is deemed invalid, illegal or unenforceable, it will not affect or impair the balance of the Agreement, which will remain enforceable. This Agreement will be governed in all respects by the laws of the Province of Ontario, Canada.
You confirm that You accept these Terms, as well as all other related documents, including notices, in English only, unless you specifically request French correspondence.
